With reference to GBS’ Road Map 2022-2025, the Alumni Association of Green Business School (GBS) has been re-constituted in the following order:

Constitution

Alumni Association of Green Business School (AAGBS)

Vision:

The vision of AAGBS is to become a dynamic and member-focused organization in the country which will be reputed locally and internationally through leading business thoughts and practices to improve national and global well-being.

Mission:

The mission of AAGBS is to create a lifelong GBS community of alumni to entrusted disseminate path breaking knowledge, concepts, any tools which advance the understanding and practice of management through mutual cooperation.

The Goals of AAGBS:

  1. Keeping alumni conversant with the programs and activities of the GBS(Green Business School);
  2. Developing alumni programs that foster fellowship among alumni and encourage the physical, moral, and spiritual growth of the GBS;
  3. Providing financial and other technical support to the GBS and its programs; and,
  4. Assisting the GBS in the growth of its academic, administrative, culture, and extracurricular activities

ARTICLE-1: NAME & MOTTO

Section-A: The name of the Organization will be “Alumni Association of Green Business School (AAGBS)”. Here in after referred to as Association and in brief it will be named as AAGBS.

Section-B: The Motto of the association will be “Empowering and Connecting Talents of Business Graduates to the Real World”.

ARTICLE-2: AREA OF OPERATION

Section-A: The registered office of the Association will be situated in GUB Main campus, Dhaka. Section-B: The Association will provide activities throughout Bangladesh and also outside of the country. ARTICLE-3: OBJECTIVES the objectives of the Association shall be:

  1. To build the Association as a true professional organization;
  2. To contribute to the development activities in the country;
  3. To hold seminar, symposium, workshop, debate and discussion on matters of various professional activities;
  4. To build up relationship among the members of the Association through cultural, social and welfare programs;
  5. To arrange training program for existing and new Alumni;
  6. To look after welfare of the members of the Association;
  7. To highlight the problems & prospects of the professionals, modern
    concepts, etc. through different media, journal publication etc;
  8. To establish a center for research on various job fields and training of various professionals;
  9. To make liaison with other Associations at home and abroad to exchange
    views and ideas, take up various projects jointly and arrange exchange programs between various organizations at home and abroad;
  10. To unite the members of the Association in the bonds of friendship, fellowship &mutual
    understanding through arranging reunion, picnic, tour, sports etc. and
  11. To encourage efficiency and promote high ethical standard in profession.

ARTICLE-4: MEMBERSHIP

Section-A: Any person irrespective of age, sex and religion who possesses any degree or certificate from Green University of Bangladesh in Business Arena may be a member of this Association of Green Business School.

Section-B: There will be only two categories of members in this Association, one is General Member and another is Life Member. The General Member will have to pay Taka 500.00 (Five hundred only) per year. On the other hand, Life member will have to pay Taka 1,000.00 (One Thousand only) as single time fee. This membership fees may be changed time to time by the Executive Committee of the Association.

Section-C: All members will be entitled to all rights and privileges and subject to all obligations, which the Association confers or implies.

Section-D: Any member may resign from this Association and said resignation shall become effective upon acceptance by the Executive Committee. The Executive Committee may withhold acceptance however, until all indebtedness has been paid and all funds and property if any have been returned.

Section-E: Any member who will be found to act against the interest of the Association may be expelled or his membership may be suspended for any particular period by two-third votes of the Executive Committee. However, before taking any such action, a show cause notice should be served on the concerned member to explain his position.

ARTICLE-5: EXECUTIVE COMMITTEE

Section-A: There will be an Executive Committee comprising the following 21 (twenty one) office bearers:

  6. Organizing Secretary: 1
  7. Information Secretary: 1
  8. Cultural Secretary: 1
  9. Publication Secretary: 1

Section-B: Duties and responsibilities of the Executive Committee will be as follows:

  1. Executive Committee will be responsible for execution of the policies and programs of the Association.
  2. It may form sub-committee for any particular activity or program of the Association.
  3. Executive Committee shall formulate the policy (addition and alteration of any Clause of the constitution) and procedures generate programs and activities for the Association and shall execute the same.

Section-C: Duties of the Office-Bearers

  • President: He/she shall be the Chief Executive of the Association. The president will preside at all meeting of the Executive Committee and General Meeting of the Association. He/she will coordinate activities among all the office-bearers and will be responsible for successful implementation of any program of the Association.
  • Vice-president: If the President is unable to perform the duties of his/her office for any reason, the Vice-president next in rank, shall occupy his/her position and perform his/her duties with the same authority as the President. Each Vice-president shall work under the direction of the President, oversee the functioning of the Association and will cooperate with the office bearers to implement the policy and/or program of the Association.
  • General Secretary: He/she shall be under the supervision and direction of the President and act as the liaison person between the Executive Committee and the Association. He/she will be the Chief Executing Officer of the Association. In fulfillment of this, he/she shall: a) issue notice of all the meetings in consultation with the President, b) submit reports to the Executive Committee meetings as well as General Meeting, c) prepare minutes of the meeting and preserves the same, d) circulate all decisions, policies and programs among the members, e) have custody keep and maintain all records, assets and properties.
  • Joint Secretary: If the General Secretary is unable to perform his/her duties of the office for any reason, the Joint Secretary next in rank, shall occupy the position and perform his duties with the same authorities as the General Secretary.
  • Treasurer: He/she shall deceive all money/fees receivable by the Association and deposit the same in a Bank account.b) He/she will’ pay all dues payable by the Association. All cheques and vouchers shall be signed by him/her and countersigned by either President or General Secretary; c) He/she will be custodian of all financial instruments and records.
  • Organizing Secretary: He/she will be responsible to create, maintain, initiate and implement program to increase membership and development of the association.
  • Information Secretary: He/she will act like a Data Bank of the Association. He/she will create, maintain and develop a positive image of the Association as a public relation officer. The website, social networking sites, group email etc. will be supervised by him/her.
  • Cultural Secretary: His/her duties will be: a) To arrange cultural and recreational activities like picnic, tour, cultural event etc. b) To arrange cultural competition, sports etc. among the members of the Association.
  • Publication Secretary: His/her responsibility includes publication of articles, research reports, yearly reports, bulletins, souvenirs, journal, albums, booklets etc. of the Association.
  • Office Secretary: /His/her responsibility is to maintain the office of the Association.
  • Executive Members: a) To cooperate with the departmental Secretaries in performing their duties, b) To participate in the programs activities undertaken by the Association. Section-D: The tenure of the office will be of two years. But the existing committee will continue functioning unless the next committee takes charge of the office.

Section-E: Election will be held in secret ballot system if there are more candidates for single post.

Section-F: The Election for executive committee of the office of the Executive Committee will be held after 2 years in General Meeting.

ART1CLE-6: MEETING

Section-A: Regular meeting of the Executive Committee of the Association shall be held once in every four months, notice of regular meeting shall be signed by the General Secretary. A notice shall be given for regular meetings at least seven days before the commencement of the meeting.

Section-B: Special meetings may also be called if it deemed necessary and such meeting may be called with two days’ notice.

Section-C: An Annual General Meeting (AGM) of the Association shall be held in each calendar year. At least 15 (fifteen) days’ notice will be necessary for convening the AGM.

Section-D: The presence in person of at least One-Third of the members of the Executive Committee shall be necessary for a quorum of the meetings of EC.

ARTICLE-7: FUND

Section-A: Membership fees, Subscriptions from Government & Business community, donations received from the members, well-wishers will be the source of the fund for the Association.

Section-B: Earnings through publication of Journals, Booklets, News Letters, Books, Souvenirs etc will also be the source of the fund of the Association.

Section-C: Earning through training programs, research projects, consultancy will also be treated as fund of the Association.

ARTICLE-8: BANK ACCOUNT

Section-A: On recommendation by the Executive Committee, the Treasurer will take initiative to open a Bank account.

Section-B: The Bank Account shall be operated by joint signature of the Treasurer and General Secretary or President of the association.

ART1CLE-9 AMENDMENT

Section-A: This constitution may be amended at any General Meeting of the Association by the affirmative vote of three-fourth of the member present in person and voting, provided the Executive Committee has previously considered the merits of the amendment.

Section-B: No amendment shall be put to vote, unless written notice there of stating the proposed amendment shall have been mailed or delivered personally to the members of the Association at least ten days prior to the General Meeting at which the vote on the proposed amendment is to be taken.

ARTICLE-10 WINDING

If on the winding up or dissolution of the Association shall be felt necessary; it can be carried out after the adjustment of all its debts and liabilities or any property whatsoever, the same shall be handed over to the concerned authority of GUB.
